Terms of service

These terms cover your use of Biodatica at biodatica.com, including the signal feed, company dossiers, the screener, watchlists, email alerts and the API. Using the service means you accept them.

1 · What the service is

Biodatica resolves six public U.S. federal datasets into one graph of biotech companies that are not yet publicly traded, scores each company’s momentum and estimated cash runway, and delivers that as a feed, dossiers, alerts, a screener and an API.

It is a publication. It is informational only. It is not investment advice, not a recommendation about any security, and not tailored to you. Our full disclosures are part of these terms.

2 · Accounts

You need an account to use the product beyond the public pages. Give us an accurate email address, keep your credentials to yourself, and tell us promptly at signal@biodatica.com if you think someone else is in your account. You are responsible for what happens under it.

A seat is one person. Sharing one login across a team is what the multi-seat tiers are for, and passing a single seat around a fund is a breach of these terms. We may suspend an account we believe is being shared, is being used to scrape the product, or is being used to break the law.

3 · Plans and what each one includes

The tiers, and exactly what each grants, are on the pricing page. In summary:

  • Trial · free · 25 rows per query, 1 therapeutic area, 5 watched companies, no instant alerts, no screener, no export, no API.
  • Analyst · $6,000/yr · 200 rows, 1 area, 1 seat, instant alerts, screener.
  • Fund · $24,000/yr · 1,000 rows, all areas, 5 seats, screener, CSV export.
  • Feed / API · from $40,000/yr, scoped by agreement · API access, raw feed, custom alerts, priority resolution. Sold under a separate written order that controls where it conflicts with these terms.

These limits are enforced in the product. We may change what a tier includes on renewal, and we will tell you before your renewal date if we do.

4 · Billing, renewal and cancellation

Paid seats are billed annually in advance through Stripe. We never see or store your card number. Your seat renews automatically each year at the then-current price for your tier; if that price has changed we will tell you before the renewal charge.

Cancel at any time from your account, which opens the Stripe billing portal. Cancellation takes effect at the end of the term you have already paid for: you keep the seat until then, and it does not renew. Annual terms are not pro-rated, and a partial year is not refunded.

If a renewal payment fails, we keep your access live through Stripe’s retry window rather than cutting you off over an expired card. If it ultimately fails, the seat drops to the free tier and your account, watchlist and settings stay intact.

Something went wrong with a charge, or the product was not what we said it was? Write to signal@biodatica.com. We would rather sort it out than argue about a clause.

5 · Acceptable use

You may use Biodatica for your own research, investing and business development work. You may not:

  • Scrape, crawl, or bulk-extract the product. The API tier exists for programmatic access, and using a browser session to simulate one is a breach.
  • Redistribute, resell, sublicense or republish the resolved graph, the scores, or the briefs. The underlying federal filings are public domain and yours to use freely; the resolution and the scoring are what you are paying for and are not yours to resell.
  • Circumvent, probe or defeat the plan gates, the row caps, or the rate limits.
  • Share a seat beyond the number of people your tier covers.
  • Use the product to build a competing dataset of resolved company crosswalks.
  • Represent to anyone that Biodatica gave personalized investment advice, or attribute an investment decision to us.

Quoting a figure from Biodatica in an internal memo, an investment committee deck, or a conversation with a founder is fine and expected. Attribution is appreciated and never required for the underlying public filings.

6 · What we own and what nobody owns

The source data is public domain: U.S. government works under 17 U.S.C. § 105. We claim nothing over it and neither can anyone else.

What is ours is the layer on top: the entity resolution that decides which records describe one company, the crosswalk graph that results, the momentum and runway models, the generated briefs, the software, the design and the Biodatica name. You get a non-exclusive, non-transferable right to use it for the term of your seat, and nothing more.

Feedback you send us we may use without obligation. Corrections in particular are welcome and will not cost you anything.

7 · No warranty

Biodatica is provided as is. We do not warrant that the graph is accurate, complete, or current, and we specifically tell you it is not: the sources lag, the resolution is a judgment that errs in both directions, and the runway figure is a model rather than a disclosure. The methodology page enumerates the known limits, and reading it before you rely on anything here is the deal.

We do not warrant uninterrupted or error-free service. Federal APIs go down, and when a source is stale the coverage page says so.

8 · Limits of liability

To the maximum extent the law allows, Biodatica is not liable for lost profits, lost opportunities, investment losses, or any indirect or consequential damages arising from your use of the product. Our total liability for any claim is capped at what you paid us in the twelve months before the claim arose.

You are a professional investor or business-development professional making your own decisions with your own money or your firm’s. A momentum score is not a reason to write a check, and if you treat it as one, that is your call and your risk.

9 · Termination

Close your account any time. We may suspend or terminate an account that breaches these terms, and for a material breach we may do so without a refund. If we terminate you for any other reason, we refund the unused portion of your term.

10 · Changes to these terms

We may update these terms. If a change materially reduces your rights, we will email account holders before it takes effect, and it will not apply to a term you have already paid for until you renew. The date at the top of this page always reflects the current version.
